We may terminate the Services or your use of the Services at any time.

HOVIS CAPITAL DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

You agree to defend, indemnify, and hold harmless Hovis Capital, LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses arising from your use of the Services or violation of these Terms.

HOVIS CAPITAL AND ITS AFFILIATES, EMPLOYEES, OFFICERS, AGENTS, AND DIRECTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. NOTWITHSTANDING THE FOREGOING, YOU AGREE THAT THE MAXIMUM AGGREGATE LIABILITY OF HOVIS CAPITAL FOR ALL CLAIMS RELATING TO YOUR USE OF THE SERVICES WILL BE LIMITED TO $100.

13. Dispute Resolution & Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration governed by the Federal Arbitration Act and administered by JAMS in Denver, Colorado. YOU AND HOVIS CAPITAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado without giving effect to conflict of law rules. State or federal courts located in Denver, Colorado shall have exclusive jurisdiction for any non-arbitrable disputes.
